General terms and conditions of sale

1. Introduction

1.1. 3HR Recruitment Solutions (the "Company") is an independent business unit of Cobis SRL, having its registered office at Bastion Tower level 12, place du Champ de Mars 5, 1050 Brussels and registered with the Crossroad Bank for Enterprises under number BE 0449 576 885.

1.2. These general terms and conditions of sale (the "General Terms and Conditions") govern the relationship between the Company and the client (the "Client") in relation to the recruitment service(s) entrusted by the Client to the Company (the "Service(s)").

1.3. The Company and the Client are referred to individually as a "Party" and collectively as the "Parties".

2. Conclusion of the agreement

2.1. The Company sends the Client a proposal for Services in accordance with its understanding of the Client's needs (the "Offer"). Any annex to the Offer or any document exchanged between the Parties forms part of the Offer and is subject to these General Terms and Conditions.

2.2. Without prejudice to Article 5.1, the Offer shall only be binding on the Company and the agreement between the Parties (the "Agreement") shall only come into effect following the Client's acceptance of its full content, the communication of the detailed description of the position sought, including the official title of the position, as well as the salary information and the extra-legal benefits envisaged, by the Client.

2.3. By accepting the Offer, the Client agrees to the application of the General Terms and Conditions and waives the right to invoke any other provision of its own general terms and conditions or of any contractual document that contravenes the General Terms and Conditions. Likewise, the Client acknowledges having read the Company's general terms of use and its privacy policy, which are available on the Company's website.

2.4. All prices and features of the Services publicly displayed (e.g. online, on the Company's website, on its social networks or in informative brochures) are given for information purposes only. Only the prices and characteristics set out in the Offer communicated to the Client by the Company are binding on the Company.

3. Contractual relationship between the Parties

3.1. The Agreement between the Parties is a contract between independent parties. The Company shall in no case be considered as being subordinate to the Client or as being in the bonds of an employment contract.

3.2. The Company has the greatest possible flexibility to organise its activities and provide the agreed Services as it sees fit, in accordance with the Client's objectives.

3.3. Each Party undertakes to comply with all the legal obligations incumbent on it individually and in particular those relating to its VAT registration and registration with the Crossroad Bank for Enterprises.

4. Implementation of the Agreement

4.1. The Services are provided by Mrs. Gwendoline de Robiano, managing partner of the Company.

4.2. Notwithstanding article 4.1, the Company may use the services of qualified employees, freelancers or subcontractors to assist it in the provision of the Services, at its discretion.

5. Fees

5.1. In exchange for the provision of the Services, the Client shall pay the Company the price set out in the Offer accepted by the Client, at the intervals agreed between the Parties. The Company may invoice, at its discretion, all or part of the Services offered to the Client as a deposit. The effective payment of this deposit, within the required period, is a condition for the Company's intervention.

5.2. The Client may not take advantage of an offer made to a third party by the Company to request an equivalent offer from the Company.

5.3. The recruitment process is generally planned in successive phases, specified in the Offer. Any phase started will be invoiced by the Company to the Client according to the price agreed between the Parties. Any additional hours or days started will be invoiced by the Company to the Client at the hourly or daily rate agreed between the Parties.

5.4. Expenses incurred by the Company on behalf of the Client outside the Services (and in particular job advertisements placed on specialised websites at the Company's discretion) will be re-invoiced at cost, upon presentation of supporting documents. The Company may request a provision for this purpose.

5.5. Any change by the Client in the profile of the candidate sought after acceptance of the Offer will be considered as a new request for Services sent by the Client. In this case, the Client will pay the full amount of the phases/hours/days started by the Company as well as all costs incurred for the requested Services.

6. Payment on receipt of invoice and invoices

6.1. Unless otherwise specified, invoices issued by the Company are payable on receipt of invoice.

6.2. Any delay in payment by the Client shall automatically and without prior notice give rise to an interest of 10% calculated from the 8th day following the date on which the invoice is sent to the Client. Failure to pay within 30 days of the date of dispatch of the invoice shall entitle the Company, without prior notice, to a conventional fixed compensation of 15% of the unpaid amount including VAT, with a minimum of €150.

6.3. The Company reserves the right to suspend its intervention in the event of non-payment by the Client of all or part of an invoice. Non-payment of an invoice on the due date will be considered, where applicable, as a serious fault on the part of the Client, justifying the termination of the Agreement without notice.

7. Remplacement guarantee

7.1. The Company may offer, at its discretion, a replacement guarantee. If the proposed candidate leaves the Client (resignation or dismissal), the Company will search for another candidate with an equivalent profile, free of charge. In this process, the Company will only charge the expenses incurred for the advertising costs. Unless otherwise agreed between the Parties, the duration of the replacement guarantee is three months from the effective starting date of the candidate hired by the Client.

7.2. The replacement guarantee shall not apply when the candidate's departure is the result of a breach attributable to the Client (dismissal for economic reasons, harassment, mismatch between the job description and the actual tasks proposed, failure to comply with social legislation, etc.).

Similarly, the replacement guarantee shall not apply in the event of a change in the content of the job, in the profile sought by the Client or in the main place of work.

7.3. The replacement guarantee is only once valid and on condition that all invoices issued by the Company have been paid in full by the Client.

8. Duration and termination

8.1. The Agreement is concluded for the Services defined by the Parties. Unless otherwise agreed by the Parties, it shall end on the date agreed by the Parties or when all the Services have been provided.

8.2. The duration of the Services and the various phases is mentioned in the Offer as an indication. However, effective cooperation between the Parties is essential in order to achieve the desired result. If the Client does not cooperate effectively with the Company, the Company reserves the right to charge for any additional work or to terminate the agreed assignment, the Client's failure to cooperate being considered a serious fault justifying termination of the Agreement without notice.

8.3. In the event of termination of the Agreement for any reason whatsoever, the Company will invoice the Client for the Services provided in accordance with the Offer signed between the Parties, without prejudice to article 5.3 above. Unless otherwise specified in writing, the Company is not obliged to refund any amount paid in advance by the Client at the end of the Agreement, whatever the cause.

9. Liability

9.1. The Company will make every effort to provide the best possible Services to the Client, based on the information provided to it and its understanding of the Client's needs.

9.2. In particular:

  • The Company is only liable to the Client for its fraud, its gross negligence or that of its employees or for any non-performance of the essential undertakings which are the subject of the Agreement;
  • Where applicable, the Company shall only be liable for damages directly caused by it to the exclusion of any consequential damages suffered by the Client, its representatives or other persons concerned, arising in the context of the performance of the Agreement such as, for example, loss of income, loss or compromise of data, loss of customers, loss of turnover, reputational damage or loss of profit, whether or not the Company has been warned of the possibility of such damages occurring;
  • If the Company's liability were to be incurred, the damages payable by the Company under the Agreement will in no case exceed the total amount agreed between the Parties, excluding costs and taxes, for the Services which gave rise to the Company's liability.

9.3. The Company shall in no event be liable for any damage arising from the suspension or non-implementation of all or part of the Agreement due to non-payment of the deposit referred to in article 5.1 above.

9.4. In order to enable the Company to calculate the amount of its remuneration, the Client undertakes to send it a copy of the contract signed by the hired candidate within 72 hours of the signing of the contract between the Client and the candidate. Failing this, the remuneration provided for in the Offer will be increased by a flat rate of 10%.

10. Force majeure

10.1. The Company will not, under any circumstances, be considered responsible for the suspension of all or part of the Services due to a cause beyond its control such as, in particular and without this list being restrictive, flooding, storm, fire, epidemic, strike, confinement, terrorist risk, default of an employee, subcontractor or any other event of force majeure that would prevent it from normally performing its obligations, suspend them for the duration of the cause of force majeure or make the performance of its obligations by the Company significantly more difficult or costly.

10.2. Any payment that would have been acquired by the Company before the event of force majeure occurred will not be reimbursed.

11. Enticement and subsequent engagement of presented candidates

11.1. The Company will not directly contact candidates placed by it with the Client on behalf of other clients while they are working for the Client. The Company may follow up on a response to an advertisement placed on behalf of a client which was sent spontaneously by a candidate placed with the Client in the past.

11.2. No potential candidate from among the Client's other employees will be approached by the Company for 24 months after the Client has accepted the Offer.

11.3. If the Client were to employ a candidate presented by the Company, either as an employee or as a self-employed person, within twelve months of his/her initial presentation by the Company, a remuneration of 10% of the total annual amount paid by the Company to the candidate, excluding fees and taxes, will be due to the Company by the Client.

12. Intellectual property

12.1. The Parties acknowledge that all the elements made available by them in order to provide the Services respect the intellectual property rights of their authors.

12.2. The Client authorises the Company to use the intellectual property rights it holds so that the Company can carry out the tasks entrusted to it under the Agreement.

12.3. Notwithstanding the foregoing, the Agreement does not transfer any intellectual property rights, in particular to visual function descriptions (sketch notes, mind mapping, etc.) which will remain the property of the Company at all times.

13. Confidentiality and protection of personal data

13.1. Each Party undertakes that any confidential information received from the other Party and identified as such shall remain confidential. Confidential information includes, but is not limited to, documents and information disclosed in connection with the Convention. It does not include publicly available information.

13.2. Each Party shall strictly respect the confidentiality of all confidential information by taking reasonable care at least equivalent to the care it takes to preserve the confidentiality of its own information.

13.3. Each Party undertakes to comply strictly with the legislation on the protection of personal data and, in particular, to process and store personal data (including those relating to the candidates submitted) strictly in accordance with the legislation.

13.4. In this context, the Client undertakes, in particular, to process the personal data of candidates only on the basis of and in accordance with the instructions of the Company, not to transfer them without the Company's prior authorisation, to take appropriate technical and organisational measures to guarantee the security of the personal data, to ensure that persons authorised to access personal data are subject to appropriate confidentiality obligations and, finally, to return and/or destroy personal data processed in the context of the Services, if they are not useful for the establishment of a contractual relationship with the selected candidate.

14. Amendments

The Company reserves the right to modify at any time all or part of the provisions of the General Terms and Conditions with immediate effect on ongoing agreements. The Company shall inform the Client by making the new version of the text of the General Terms and Conditions available on its website or by any other appropriate means of communication.

15. Applicable legislation and settlement of disputes

15.1. The Agreement between the Parties is subject to Belgian law.

15.2. In their contractual relationship, the Parties shall attempt to resolve amicably any dispute arising between them and relating in particular to the formation, interpretation, performance or termination of the Agreement.

15.3. If no agreement is reached, the dispute will fall under the exclusive jurisdiction of the courts of the district where the Company has its registered office.

16. Miscellaneous

16.1. The fact that the Company does not avail itself of a provision of the General Terms and Conditions may not be interpreted as a waiver of the right to avail itself of such provision at a later date.

16.2. If any provision of the General Terms and Conditions is declared null and void or ineffective, it will be deemed unwritten, without affecting the validity of the other provisions of the General Terms and Conditions or of any contractual document concluded between the Parties. Insofar as possible, the Parties shall replace the invalidated provision in good faith and in the same spirit.

Conditions générales de vente

1. Présentation

1.1. 3HR Recruitment Solutions (l’«Entreprise») est une branche d’activité indépendante de Cobis SRL, ayant son siège social Bastion Tower étage 12, place du Champ de Mars 5 à 1050 Bruxelles et enregistrée auprès de la Banque-Carrefour des Entreprises sous le numéro BE 0449 576 885.

1.2. Les présentes conditions générales de vente (les « Conditions Générales ») régissent les relations entre l’Entreprise et le client (le « Client ») dans le cadre du ou des services de recrutement confiés par le Client à l’Entreprise (le(s) «Service(s)»).

1.3. L’Entreprise et le Client sont désignés individuellement comme une «Partie» et collectivement comme les «Parties».

2. Formation du contrat

2.1. L’Entreprise adresse au Client une proposition de Services conformément à sa compréhension des besoins du Client (l’«Offre»). Toute annexe reprise dans l'Offre ou tout document échangé entre Parties fait partie de l’Offre et est soumis aux présentes Conditions Générales.

2.2. Sans préjudice de l’article 5.1, l’Offre ne lie l’Entreprise et la convention entre Parties (la «Convention») ne prend cours qu’en suite de l’acceptation par le Client de son contenu intégral, de la communication de la description détaillée de la fonction recherchée comprenant le titre officiel de la fonction, ainsi que des informations salariales et avantages extra-légaux envisagés, par le Client.

2.3. Par l’acceptation de l’Offre, le Client consent à l'application des Conditions Générales et renonce à invoquer toute autre disposition éventuelle de ses propres conditions générales ou de tout document contractuel qui contreviendrait aux Conditions Générales. De même, le Client reconnaît avoir pris connaissance des conditions générales d’utilisation de l’Entreprise ainsi que de sa politique de confidentialité mis à sa disposition sur le site internet de l’Entreprise.

2.4. Tous les éléments de prix et les caractéristiques des Services affichés publiquement (par exemple en ligne, sur le site internet de l’Entreprise, sur ses réseaux sociaux ou dans des brochures informatives) sont renseignés à titre purement indicatif. Seuls les prix et les caractéristiques repris dans l'Offre communiquée au Client par l’Entreprise sont susceptibles d'engager l’Entreprise.

3. Relation entre les Parties

3.1. La Convention qui se noue entre les Parties est un contrat d’entreprise entre parties indépendantes. L’Entreprise ne sera, en aucun cas, considérée comme subordonnée à l’autorité du Client ou comme se trouvant dans les liens d’un contrat de travail.

3.2. L’Entreprise dispose de la plus grande flexibilité pour organiser, comme elle l’entend, ses activités et prester les Services convenus, conformément aux objectifs du Client.

3.3. Chaque Partie s’engage à se conformer à toutes les obligations légales qui lui incombent individuellement et notamment celles relatives à son immatriculation à la TVA et à son inscription à la Banque-Carrefour des entreprises.

4. Réalisation de la Convention

4.1. Les Services sont prestés par Madame Gwendoline de Robiano, managing partner de l’Entreprise.

4.2. Nonobstant l’article 4.1, l’Entreprise peut faire appel aux services d’employés, d’indépendants ou de sous-traitants qualifiés pour l’assister dans la fourniture des Services, à sa discrétion.

5. Prix

5.1. En échange de la fourniture des Services, le Client paie à l’Entreprise le prix repris dans l'Offre acceptée par le Client, selon la périodicité convenue entre les Parties. L’Entreprise est susceptible de facturer, à sa discrétion, tout ou partie des Services proposés au Client, au titre d’acompte. Le paiement effectif de cet acompte, dans le délai requis, conditionne l’intervention de l’Entreprise.

5.2. Le Client ne peut se prévaloir d’une offre qui aurait été adressée à un tiers par l’Entreprise pour solliciter une offre équivalente de la part de l’Entreprise.

5.3. Le processus de recrutement est généralement prévu en différentes phases successives, précisées dans l’Offre. Toute phase entamée sera facturée par l’Entreprise au Client selon le forfait convenu entre Parties. De même, toute heure ou jour supplémentaire entamé, sera facturé par l’Entreprise au Client selon le tarif horaire ou journalier convenu entre Parties.

5.4. Les frais qui seraient engagés par l’Entreprise pour le compte du Client, en-dehors des Services (et notamment les annonces d’emploi placées sur les sites spécialisés à la discrétion de l’Entreprise), seront refacturés, au prix coûtant, sur présentation de justificatifs. Une provision peut être sollicitée à cette fin par l’Entreprise.

5.5. Toute modification par le Client du profil du candidat recherché après acceptation de l’Offre, sera considérée comme une nouvelle demande de Services adressée par le Client. Le cas échéant, le Client est tenu de payer la totalité des phases/heures/journées entamées prestées par l’Entreprise ainsi que tous les frais exposés pour les Services sollicités.

6. Paiement au comptant et facturation

6.1. A défaut de précision contraire, les factures émises par l’Entreprise sont payables au comptant.

6.2. Tout retard de paiement par le Client donnera lieu, de plein droit et sans mise en demeure préalable, à un intérêt de 10 % calculé à partir du 8ème jour suivant la date d’envoi de la facture au Client. L’absence de paiement dans les 30 jours de la date d’envoi de la facture donnera droit, sans mise en demeure préalable, à une indemnité conventionnelle forfaitaire de 15 % du montant impayé TVAC, avec un minimum de 150 €.

6.3. L’Entreprise se réserve le droit de suspendre son intervention, en cas de défaut de paiement par le Client de tout ou partie d’une facture. Le non-paiement d’une facture à son terme sera considéré, le cas échéant, comme une faute grave du Client, justifiant la résiliation de la Convention sans préavis.

7. Garantie de remplacement

7.1. L’Entreprise peut offrir, à sa discrétion, une garantie de remplacement Ce faisant, si le candidat proposé quitte le Client (démission ou licenciement), l’Entreprise recherchera un autre candidat au profil équivalent, sans frais. Dans ce processus, l’Entreprise ne refacturera que les dépenses supportées pour les frais d’annonces. Sauf convention contraire conclue entre les Parties, la durée de la garantie de remplacement est de trois mois à compter de la date effective de prise de fonction par le candidat engagé par le Client.

7.2. La garantie de remplacement ne s’applique pas lorsque le départ du candidat est le fruit d’un manquement imputable au Client (licenciement pour raisons économiques, harcèlement, inadéquation entre la description de fonctions et les tâches réelles proposées, non-respect du droit social, …). De même, la garantie de remplacement n’est pas applicable en cas de modification du contenu de la fonction, du profil recherché par le Client ou du lieu de travail principal.

7.3. La garantie de remplacement n’est valable qu’une seule fois et à la condition que toutes les factures émises par l’Entreprise aient été payées dans leur totalité par le Client.

8. Durée et fin

8.1. La Convention est conclue pour les Services définis par les Parties. Sauf accord des parties, elle prend fin à la date convenue par les Parties ou lorsque l’ensemble des Services auront été prestés.

8.2. La durée des Services et des différentes phases est indiquée dans l’Offre à titre indicatif. Cependant, une collaboration effective entre les Parties est indispensable en vue de parvenir au résultat escompté. Si le Client ne collabore pas effectivement avec l’Entreprise, celle-ci se réserve le droit de facturer tout travail supplémentaire ou de mettre fin à la mission convenue, l’absence de collaboration du Client étant considéré comme une faute grave justifiant la résiliation de la Convention sans préavis.

8.3. En cas de résiliation de la Convention pour quelque cause que ce soit, l’Entreprise facture au Client les Services prestés selon l’Offre signée entre les Parties, sans préjudice de l’article 5.3, ci-dessus. Sauf indication contraire écrite, l’Entreprise n’est tenue de rembourser aucun montant payé anticipativement par le Client à la fin de la Convention, quelle qu’en soit la cause.

9. Responsabilité

9.1. L’Entreprise met tout en œuvre pour offrir les meilleurs Services possibles au Client, sur la base des informations qui lui sont transmises et de sa compréhension des besoins du Client.

9.2. Plus particulièrement:

  • l’Entreprise n’est responsable vis-à-vis du Client que de son dol, de sa faute grave ou de celle de ses préposés ou encore de toute inexécution des engagements essentiels qui font l’objet de la Convention;
  • le cas échéant, l’Entreprise sera uniquement tenue à la réparation des dommages directement causés par elle à l’exclusion de tous dommages indirects subis par le Client, ses représentants ou d’autres personnes concernées, survenus dans le cadre de l’exécution de la Convention tels que, par exemple, la perte de revenus, la perte ou la compromission de données, la perte de clientèle, la perte de chiffre d’affaire, un dommage réputationnel ou le manque à gagner, que l’Entreprise ait été avertie de la possibilité de survenance de tels dommages ou non;
  • si la responsabilité de l’Entreprise devait être engagée, les dommages et intérêts dus par l’Entreprise en vertu de la Convention n’excéderont en aucun cas le montant total convenu entre les Parties, hors frais et taxes, pour les Services ayant donné lieu à la mise en cause de la responsabilité de l’Entreprise.

9.3. L’Entreprise ne pourra en aucun cas être tenue responsable de tout dommage qui surgirait en raison de la suspension ou de la non-prise d’effet de tout ou partie de la Convention pour cause de non-paiement de l’acompte prévu à l’article 5.1., ci-avant.

9.4. Afin de permettre à l’Entreprise de calculer le montant de sa rémunération, le Client s’engage à lui transmettre dans les 72h qui suivent la signature du contrat entre le Client et le candidat, une copie du contrat signé par le candidat engagé. A défaut, la rémunération prévue dans l’Offre sera augmentée forfaitairement de 10%.

10. Force majeure

10.1. L’Entreprise ne pourra, en aucun cas, être considérée comme responsable de la suspension de tout ou partie des Services, en raison d’une cause indépendante de sa volonté telle que, notamment et sans que cette liste ne soit limitative, inondation, tempête, incendie, épidémie, grève, confinement, risque terroriste, défaut d’un préposé, d’un sous-traitant ou tout autre événement de force majeure qui l’empêcherait d’exécuter normalement ses obligations, les suspendraient pendant la durée de la cause de force majeure ou rendrait l’exécution de ses obligations par l’Entreprise, sensiblement plus difficile ou coûteuse.

10.2. Tout paiement qui aurait été acquis par l’Entreprise avant que ne se déclare l’évènement de force majeure, restera acquis à l’Entreprise.

11. Non-débauchage et engagement subséquent de candidats présentés

11.1. L’Entreprise s’abstiendra de contacter directement les candidats placés par elle chez le Client, pour le compte d’autres clients, tant qu’ils travaillent chez le Client. A l’inverse, l’Entreprise peut assurer le suivi d’une réponse à une annonce placée pour le compte d’un client et qui serait adressée spontanément par un candidat placé chez le Client, par le passé.

11.2. Aucun candidat potentiel parmi les autres employés du Client ne sera approché par l’Entreprise pendant les 24 mois suivant l’acceptation de l’Offre par le Client.

11.3. Si le Client devait engager un candidat présenté par l’Entreprise, en qualité de salarié ou de travailleur indépendant, dans les douze mois de sa présentation initiale par l’Entreprise, une rémunération de 10% du montant total annuel payé par l’Entreprise au candidat, hors frais et taxes, sera due à l’Entreprise par le Client.

12. Propriété intellectuelle

12.1. Les Parties reconnaissent que tous les éléments mis à disposition par leurs soins en vue d’assurer les Services respectent les droits de propriété intellectuelle de leurs auteurs.

12.2. Le Client autorise parallèlement l’Entreprise à utiliser les droits de propriété intellectuelle dont il dispose, afin que l’Entreprise puisse réaliser les missions qui lui sont confiées par la Convention.

12.3. Nonobstant ce qui précède, la Convention ne transfère aucun droit de propriété intellectuelle, notamment sur les descriptions de fonction visuelles (sketchnotes, mindmapping, etc.) qui resteront, en tout temps, la propriété de l’Entreprise.

13. Confidentialité et protection des données à caractère personnel

13.1. Chaque Partie s’engage à ce que toute information confidentielle reçue de l’autre Partie et mentionnée comme telle reste confidentielle. Les informations confidentielles incluent, mais ne se limitent pas aux documents et informations divulgués en rapport avec la Convention. Elles n’incluent pas les informations publiquement disponibles.

13.2. Chaque Partie respecte strictement la confidentialité de toutes les informations confidentielles en accordant un soin raisonnable équivalant au moins au soin qu’elle apporte pour préserver la confidentialité de ses propres informations.

13.3. Chaque Partie s’engage à respecter strictement la législation en matière de protection des données à caractère personnel et, notamment, à traiter et conserver les données à caractère personnel (y-compris celles relatives aux candidats présentés) dans les strictes limites de la législation.

13.4. Dans ce cadre, le Client s’oblige notamment à ne traiter les données à caractère personnel des candidats que sur la base de et conformément aux instructions de l’Entreprise, à ne pas les transférer sans autorisation préalable de l’Entreprise, à prendre les mesures techniques et organisationnelles adéquates pour garantir la sécurité des données à caractère personnel, à garantir que les personnes autorisées à accéder à des données à caractère personnel soient soumises à des obligations adéquates de confidentialité et, enfin, à restituer et/ou détruire les données à caractère personnel traités dans le cadre des Services, dès lors qu’elles ne sont pas utiles pour la mise en place d’une relation contractuelle avec le candidat sélectionné.

14. Modifications

L’Entreprise se réserve le droit de modifier à tout moment tout ou partie des dispositions des Conditions Générales avec effet immédiat sur les conventions en cours. L’Entreprise en informe le Client par la mise à disposition de la nouvelle version du texte des Conditions Générales sur son site internet ou par tout autre moyen de communication adéquat.

15. Législation applicable et règlement des litiges

15.1. La Convention qui lie les Parties est soumise au droit belge.

15.2. Dans leur relation contractuelle, les Parties tenteront de résoudre à l'amiable tout litige survenant entre elles et relatif notamment à la formation, l'interprétation, l'exécution ou la résiliation de la Convention.

15.3. A défaut d’accord, le litige relèvera de la compétence exclusive des juridictions de l’arrondissement du siège de l’Entreprise.

16. Divers

16.1. Le fait pour l’Entreprise de ne pas se prévaloir d’une disposition des Conditions Générales ne pourra être interprété comme valant renonciation à s’en prévaloir ultérieurement.

16.2. Dans le cas où l’une des dispositions des Conditions Générales serait déclarée nulle ou sans effet, elle sera réputée non écrite, sans que cela n’affecte la validité des autres dispositions des Conditions Générales ou de tout document contractuel conclu entre les Parties. Dans la mesure du possible, les Parties pourvoiront au remplacement de la disposition invalidée, de bonne foi et dans le même esprit.

Algemene verkoopsvoorwaarden

1. Presentatie

1.1. 3HR Recruitment Solutions (de "Onderneming") is een onafhankelijke bedrijfstak van Cobis BV, met maatschappelijke zetel te Bastion Tower level 12, Marsveldplein 5 te 1050 Brussel en ingeschreven bij de Kruispuntbank voor Ondernemingen onder nummer BE 0449 576 885.

1.2. Deze algemene verkoopsvoorwaarden (de "Algemene Voorwaarden") regelen de relatie tussen de Onderneming en de Klant (de "Klant") met betrekking tot de door de Klant aan de Onderneming toevertrouwde rekruteringsdienst(en) (de "Dienst(en)").

1.3. De Onderneming en de Klant worden afzonderlijk "Partij" en gezamenlijk de "Partijen" genoemd.

2. Totstandkoming van de overeenkomst

2.1. De Onderneming stuurt de Klant een voorstel voor Diensten in overeenstemming met haar inzicht in de behoeften van de Klant (het "Aanbod"). Elke bijlage bij het Aanbod of elk document dat tussen de Partijen wordt uitgewisseld, maakt deel uit van het Aanbod en is onderworpen aan deze Algemene Voorwaarden.

2.2. Onverminderd artikel 5.1 is het Aanbod slechts bindend voor de Onderneming en komt de overeenkomst tussen de Partijen (de "Overeenkomst") pas tot stand na de aanvaarding door de Klant van de volledige inhoud ervan, de mededeling door de Klant van de gedetailleerde beschrijving van de gezochte functie, met inbegrip van de officiële benaming van de functie, alsook van de door de Klant beoogde salarisgegevens en extralegale voordelen.

2.3. Door de aanvaarding van het Aanbod stemt de Klant in met de toepassing van de Algemene Voorwaarden en ziet hij af van het recht om zich te beroepen op enige andere bepaling van zijn eigen algemene voorwaarden of van enig contractueel document dat in strijd zou zijn met de Algemene Voorwaarden. Evenzo erkent de Klant kennis te hebben genomen van de algemene gebruiksvoorwaarden en het privacybeleid van de Onderneming, die beschikbaar zijn op de website van de Onderneming.

2.4. Alle prijzen en kenmerken van de Diensten die openbaar worden weergegeven (bvb. online, op de website van de Onderneming, op haar sociale netwerken of in informatieve brochures) worden uitsluitend ter informatie verstrekt. Enkel de prijzen en kenmerken vermeld in het door de Onderneming aan de Klant meegedeelde Aanbod zijn bindend voor de Onderneming.

3. Verhouding tussen de Partijen

3.1. De overeenkomst tussen de Partijen is een zakelijke overeenkomst tussen onafhankelijke Partijen. De Onderneming kan in geen geval worden beschouwd als ondergeschikt aan de Klant of als onderworpen aan een arbeidsovereenkomst.

3.2. De Onderneming beschikt over de grootst mogelijke flexibiliteit om haar activiteiten te organiseren en de overeengekomen Diensten te verlenen naar eigen goeddunken, in overeenstemming met de doelstellingen van de Klant.

3.3. Elke Partij verbindt zich ertoe alle wettelijke verplichtingen na te leven die op haar rusten, in het bijzonder de verplichtingen met betrekking tot haar BTW-registratie en haar inschrijving bij de Kruispuntbank voor Ondernemingen.

4. Uitvoering van de Overeenkomst

4.1. De Diensten worden verleend door mevrouw Gwendoline de Robiano, managing partner van de Onderneming.

4.2. Niettegenstaande artikel 4.1 mag de Onderneming naar eigen goeddunken gebruik maken van de diensten van gekwalificeerde werknemers, zelfstandigen of subcontractanten om de Onderneming bij te staan bij de verlening van de Diensten.

5. Prijs

5.1. Voor de levering van de Diensten betaalt de Klant aan de Onderneming de prijs die vermeld staat in het door de Klant aanvaarde Aanbod, volgens de tussen de Partijen overeengekomen modaliteiten. De Onderneming mag, naar eigen goeddunken, alle of een deel van de Diensten die aan de Klant worden aangeboden als voorschot factureren. De effectieve betaling van dit voorschot, binnen de vastgestelde termijn, is een voorwaarde voor de tussenkomst van de Onderneming.

5.2. De Klant mag geen gebruik maken van een door de Onderneming aan een derde gedaan aanbod om van de Onderneming een gelijkwaardig aanbod te vragen.

5.3. Het aanwervingsproces wordt over het algemeen gepland in opeenvolgende fasen, die in het Aanbod worden omschreven. Elke begonnen fase zal door de Onderneming aan de Klant worden gefactureerd volgens de prijs die tussen de Partijen is overeengekomen. Zo zal ook elk bijkomend begonnen uur of dag door de Onderneming aan de Klant worden gefactureerd volgens het uur- of dagtarief dat tussen de Partijen is overeengekomen.

5.4. Uitgaven die door de Onderneming voor rekening van de Klant worden gedaan, buiten de Diensten om (en in het bijzonder advertenties die naar goeddunken van de Onderneming op gespecialiseerde websites worden geplaatst), zullen tegen kostprijs worden doorberekend, na overlegging van betalingsbewijzen. De Onderneming kan hiertoe een voorschot vragen.

5.5. Elke wijziging door de Klant van het profiel van de gezochte kandidaat na aanvaarding van het Aanbod zal worden beschouwd als een nieuwe aanvraag voor Diensten uitgaande van de Klant. In dat geval is de Klant verplicht alle fasen/uren/dagen te betalen die door de Onderneming zijn begonnen, evenals alle kosten die voor de gevraagde Diensten zijn uitgegeven.

6. Contante betaling en facturering

6.1. Tenzij anders vermeld, zijn de door de Onderneming uitgeschreven facturen contant betaalbaar.

6.2. Elke vertraging in de betaling door de Klant zal van rechtswege en zonder voorafgaande ingebrekestelling aanleiding geven tot een interest van 10%, berekend vanaf de 8ste dag die volgt op de datum van verzending van de factuur aan de Klant. Niet-betaling binnen 30 dagen na verzending van de factuur geeft, zonder voorafgaande ingebrekestelling, aanleiding tot een conventionele forfaitaire schadevergoeding van 15% van het onbetaalde bedrag inclusief BTW, met een minimum van 150 EUR.

6.3. De Onderneming behoudt zich het recht voor de Diensten op te schorten in geval van niet-betaling door de Klant van het geheel of een gedeelte van een factuur. De niet-betaling van een factuur bij het verstrijken van de termijn wordt in voorkomend geval beschouwd als een ernstige fout van de Klant, die de beëindiging van de Overeenkomst zonder opzeggingstermijn rechtvaardigt.

7. Vervangingsgarantie

7.1. De Onderneming kan, naar eigen goeddunken, een vervangingsgarantie bieden. Indien de voorgestelde kandidaat de Klant binnen deze periode verlaat (opzegging of ontslag), zal de Onderneming kosteloos een andere kandidaat met een gelijkwaardig profiel zoeken. In dit proces zal de Onderneming alleen de uitgaven voor de advertentieskosten in rekening brengen. Behoudens andersluidende overeenkomst tussen de Partijen, bedraagt de duur van de vervangingsgarantie drie maanden vanaf de effectieve datum van de indiensttreding van de door de Klant aangeworven kandidaat.

7.2. De vervangingsgarantie is niet van toepassing wanneer het vertrek van de kandidaat het gevolg is van een aan de Klant toe te schrijven tekortkoming (ontslag om economische redenen, pesterijen, onvoldoende overeenstemming tussen de functieomschrijving en de werkelijk voorgestelde taken, niet-naleving van de sociale wetgeving, ...). Ook is de vervangingsgarantie niet van toepassing in geval van wijziging van de inhoud van de functie, het door de Klant gezochte profiel of de voornaamste plaats van tewerkstelling.

7.3. De vervangingsgarantie is slechts eenmalig geldig en op voorwaarde dat alle door de Onderneming uitgeschreven facturen volledig door de Klant zijn betaald.

8. Duur en beëindiging

8.1. De Overeenkomst wordt gesloten voor de door de Partijen omschreven Diensten. Tenzij door de Partijen anders overeengekomen, eindigt de Overeenkomst op de door de Partijen overeengekomen datum of wanneer alle Diensten zijn verleend.

8.2. De duur van de Diensten en de verschillende fasen worden in het Aanbod indicatief aangegeven. Een doeltreffende samenwerking tussen de Partijen is echter van essentieel belang om het gewenste resultaat te bereiken. Indien de Klant geen daadwerkelijke samenwerking verleent aan de Onderneming, behoudt de Onderneming zich het recht voor om bijkomend werk te factureren of de overeengekomen opdracht te beëindigen, waarbij het gebrek aan medewerking van de Klant beschouwd wordt als een ernstige fout die de beëindiging van de Overeenkomst zonder opzeggingstermijn rechtvaardigt.

8.3. In geval van beëindiging van de Overeenkomst om welke reden dan ook, zal de Onderneming de Klant factureren voor de geleverde Diensten in overeenstemming met het tussen de Partijen ondertekende Aanbod, onverminderd artikel 5.3 hierboven. Behoudens andersluidende schriftelijke bepaling is de Onderneming niet gehouden tot terugbetaling van het door de Klant vooruitbetaalde bedrag bij het einde van de Overeenkomst, ongeacht de oorzaak.

9. Aansprakelijkheid

9.1. De Onderneming zal alles in het werk stellen om de best mogelijke Diensten aan de Klant aan te bieden, op basis van de haar verstrekte informatie en haar inzicht in de behoeften van de Klant.

9.2. In het bijzonder:

  • De Onderneming is ten opzichte van de Klant enkel aansprakelijk voor haar bedrog, haar zware fout of die van haar werknemers of voor de niet-nakoming van de essentiële verbintenissen die het voorwerp uitmaken van de Overeenkomst;
  • In voorkomend geval is de Onderneming slechts aansprakelijk voor de door haar rechtstreeks veroorzaakte schade, met uitsluiting van de door de Klant, zijn vertegenwoordigers of andere betrokken personen geleden indirecte schade die voortvloeit uit de uitvoering van de Overeenkomst, zoals bijvoorbeeld inkomstenderving, verlies of aantasting van gegevens, verlies van cliënteel, omzetverlies, reputatieschade of winstderving, ongeacht of de Onderneming al dan niet gewaarschuwd werd voor de mogelijkheid van het optreden van dergelijke schade;
  • Indien de Onderneming aansprakelijk mocht zijn, zal de schadevergoeding die de Onderneming uit hoofde van de Overeenkomst verschuldigd is in geen geval hoger zijn dan het totale bedrag dat tussen de Partijen is overeengekomen, exclusief kosten en belastingen, voor de Diensten die aanleiding hebben gegeven tot de aansprakelijkheid van de Onderneming.

9.3. De Onderneming kan niet aansprakelijk worden gesteld voor schade die voortvloeit uit de opschorting of de niet-uitvoering van het geheel of een deel van de Overeenkomst als gevolg van de niet-betaling van het in artikel 5.1 hierboven bedoelde voorschot.

9.4. Teneinde de Onderneming in staat te stellen het bedrag van haar vergoeding te berekenen, verbindt de Klant zich ertoe haar een kopie van het door de kandidaat ondertekende contract te bezorgen binnen 72 uur na de ondertekening van het contract tussen de Klant en de kandidaat. Bij gebreke daarvan zal de in het Aanbod voorziene vergoeding forfaitair met 10% worden verhoogd.

10. Overmacht

10.1. De Onderneming kan in geen geval aansprakelijk worden gesteld voor de opschorting van alle of een deel van de Diensten als gevolg van een oorzaak buiten haar controle, zoals, in het bijzonder en zonder dat deze lijst beperkend is, overstroming, storm, brand, epidemie, staking, lock-down, terroristisch risico, wanprestatie van een werknemer, een onderaannemer of elke andere gebeurtenis van overmacht waardoor de Onderneming haar verplichtingen niet op normale wijze kan nakomen, deze opschort voor de duur van de oorzaak van de overmacht of de nakoming van haar verplichtingen door de Onderneming aanzienlijk bemoeilijkt of kostbaarder maakt.

10.2. Elke betaling die door de Onderneming zou zijn verworven voordat de gebeurtenis van overmacht zich voordoet, blijft behouden door de Onderneming.

11. Niet-afwerving en daaropvolgende indienstneming van kandidaten

11.1. De Onderneming zal niet rechtstreeks contact opnemen met door haar bij de Klant geplaatste kandidaten voor rekening van andere Klanten, zolang deze voor de Klant werkzaam zijn. Omgekeerd kan de Onderneming gevolg geven aan een reactie op een advertentie die in naam van een Klant werd geplaatst en spontaan werd verstuurd door een kandidaat die in het verleden bij de Klant werd geplaatst.

11.2. Geen enkele potentiële kandidaat onder de andere werknemers van de Klant zal door de Onderneming benaderd worden gedurende de 24 maanden volgend op de aanvaarding van het Aanbod door de Klant.

11.3. Indien de Klant een door de Onderneming voorgestelde kandidaat in dienst zou nemen, hetzij als werknemer, hetzij als zelfstandige, binnen de twaalf maanden na zijn/haar initiële voordracht door de Onderneming, zal de Klant aan de Onderneming een vergoeding verschuldigd zijn van 10% van het totale jaarlijkse bedrag dat door de Onderneming aan de kandidaat werd betaald, met uitsluiting van kosten en belastingen.

12. Intellectuele eigendom

12.1. De Partijen erkennen dat alle elementen die zij ter beschikking stellen om de Diensten te verlenen, de intellectuele eigendomsrechten van hun auteurs eerbiedigen.

12.2. Tegelijkertijd geeft de Klant de Onderneming toestemming om de intellectuele eigendomsrechten die zij bezit te gebruiken, zodat de Onderneming de Diensten kan uitvoeren die haar door de Overeenkomst worden toevertrouwd.

12.3. Niettegenstaande het voorgaande draagt de Overeenkomst geen intellectuele eigendomsrechten over, met name op visuele functiebeschrijvingen (sketchnotes, mindmapping, enz.) die te allen tijde eigendom van de Onderneming blijven.

13. Vertrouwelijkheid en bescherming van persoonsgegevens

13.1. Elke Partij verbindt zich ertoe alle vertrouwelijke informatie die zij van de andere Partij ontvangt en die als zodanig wordt aangemerkt, vertrouwelijk te houden. Vertrouwelijke informatie omvat, maar is niet beperkt tot, documenten en informatie die in verband met de Overeenkomst openbaar worden gemaakt. Openbaar beschikbare informatie valt hier niet onder.

13.2. Elke Partij eerbiedigt strikt de vertrouwelijkheid van alle vertrouwelijke informatie door een redelijke mate van zorgvuldigheid in acht te nemen die ten minste gelijkwaardig is aan de zorg die zij in acht neemt om de vertrouwelijkheid van haar eigen informatie te waarborgen.

13.3. Elke Partij verbindt zich ertoe de wetgeving inzake de bescherming van persoonsgegevens strikt na te leven en in het bijzonder de persoonsgegevens (met inbegrip van die betreffende de voorgedragen kandidaten) strikt overeenkomstig de wetgeving te verwerken en op te slaan.

13.4. In dit kader verbindt de Klant zich er met name toe de persoonsgegevens van de kandidaten slechts te verwerken op basis van en overeenkomstig de instructies van de Onderneming, deze niet over te dragen zonder voorafgaande toestemming van de Onderneming, adequate technische en organisatorische maatregelen te treffen om de veiligheid van de persoonsgegevens te waarborgen, ervoor te zorgen dat personen die toegang hebben tot persoonsgegevens, onderworpen zijn aan adequate vertrouwelijkheidsverplichtingen en, ten slotte, persoonsgegevens die in het kader van de Diensten zijn verwerkt, terug te geven en/of te vernietigen indien zij niet noodzakelijk zijn voor de totstandkoming van een contractuele relatie met de geselecteerde kandidaat.

14. Wijzigingen

De Onderneming behoudt zich het recht voor om op elk ogenblik alle of een deel van de bepalingen van de Algemene Voorwaarden te wijzigen met onmiddellijke ingang op de lopende overeenkomsten. De Onderneming zal de Klant informeren door de nieuwe versie van de tekst van de Algemene Voorwaarden beschikbaar te stellen op haar website of via enig ander geschikt communicatiemiddel.

15. Toepasselijke wetgeving en geschillenbeslechting

15.1. De Overeenkomst die de Partijen bindt, is onderworpen aan het Belgisch recht.

15.2. In hun contractuele relatie zullen de Partijen trachten elk geschil dat tussen hen ontstaat en o.a. betrekking heeft op de totstandkoming, de interpretatie, de uitvoering of de beëindiging van de Overeenkomst, op minnelijke wijze op te lossen.

15.3. Indien geen overeenstemming wordt bereikt, valt het geschil onder de uitsluitende bevoegdheid van de rechtbanken van het arrondissement waar het hoofdkantoor van de Onderneming is gevestigd.

16. Algemeen

16.1. Het feit dat de Onderneming zich niet beroept op een bepaling van de Algemene Voorwaarden mag niet worden geïnterpreteerd als een verklaring van afstand van haar recht om dit op een later tijdstip wel te doen.

16.2. Indien een van de bepalingen van de Algemene Voorwaarden nietig wordt verklaard, zal deze bepaling als niet geschreven worden beschouwd, zonder dat dit afbreuk doet aan de geldigheid van de overige bepalingen van de Algemene Voorwaarden of van enig contractueel document dat tussen de Partijen is gesloten. Voor zover mogelijk zullen de Partijen te goeder trouw en vanuit dezelfde geest in de vervanging van de ongeldig verklaarde bepaling voorzien.
